We provide specialised legal support to venture capital investment funds and to management companies (UCITS management companies and AIFMs), with experience in the formation, organisation and operation of Venture Capital Investment Companies (ΑΚΕΣ). Our experience spans both sides of the fund structure: we advise fund managers on regulatory compliance, governance, and custodians on key agreements, service-level arrangements and related compliance matters.

We support VCs in structuring their corporate form, and in matters of governance, risk management, tax structuring and compliance with the applicable regulatory framework. Starting from fundraising, we provide full legal support in raising capital from Limited Partners (LPs), preparing and negotiating the relevant documentation (LP agreements, management agreements, subscription documents, side letters, etc.), as well as in the private placement process directed at institutional and private investors. We ensure that capital raising is carried out with regulatory certainty and in full alignment with the fund's investment terms.

At the same time, we support VCs in sourcing and executing their investments in start-ups and scale-ups, undertaking the drafting and negotiation of investment agreements for Seed, Series A and Series B rounds, as well as the preparation of term sheets, investment agreements, shareholders' agreements and related documentation. We take an active role in deal flow and deal-making, conducting legal due diligence on technology and medical companies and identifying key issues such as intellectual property, regulatory requirements, corporate structure and commercial execution risks.
